By accessing or using the Service, you agree to comply with and to be bound by all of the terms and conditions described in these Terms. Account Enrollment

The use of Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  is for all persons age eighteen (18) and over who agree to these Terms of Service. To access the Services, you must first enroll to establish an individual user account (“Account”), by providing certain information. You agree that you will not create more than one Account or create an Account for anyone other than yourself without first receiving permission from the other person. Acceptable Use

We want Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  to be convenient, safe, and fun for you and your communities. Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  Users may not:

•           Stalk, harass, bully, intimidate, or harm another user.

•           Post unlawful, harmful, obscene, or pornographic content.

•           Impersonate someone.

•           Post content that is hateful, threatening, and harmful, incites violence; or contains graphic or gratuitous violence.

•           Post content you do not have the right to transmit.

•           Post content that infringes on trademarks or copyrights.

•           Post viruses or malicious scripts.

•           Post spam or link bait.

•           Attempt to circumvent any technological measure implemented by Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  or any of Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network) 's providers or any other third party (including another user) to protect the Site or Services.

•           Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Site or Services.

•           Advocate, encourage, or assist any third party in doing any of the foregoing.

 

You agree not to access or use the Service in an unlawful way or for an unlawful or illegitimate purpose or in any manner that contravenes these terms. You shall not attempt to gain unauthorized access to any user accounts or computer systems or networks, through hacking, password mining or any other means. You shall not use any robot, scraper or other means to access the Service for any purpose. Neither Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  nor its affiliates are under any obligation to respond to messages posted on the Service. You are solely responsible for the information or material you post on the Service.

 

‍The following terms apply to any App accessed through or downloaded from any source (such as the Apple App Store or other similar platforms) where the App is made available (each such distribution platform an “App Provider”). You acknowledge and agree that these Terms are between you and Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network) , and not with the App Provider, and that Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  (not the App Provider), is solely responsible for the App; and the App Provider has no obligation to furnish any maintenance and support services with respect to the App claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network) .

If you download the App, such as a stand-alone software product or a browser plugin, you agree that from time to time, the software may require that you download upgrades, updates and additional features we publish in order to improve, enhance, and further develop the software, Service, or App. The Service may change from time to time and/or Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  may stop (permanently or temporarily) providing the Service (or features within the Service), possibly without prior notice to you.

Payment

There are no fees for use of many of the features on Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network) . However, premium features and subscriptions are available for purchase by Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  members for additional services the company may offer.

 

Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  may change the fees and/or benefits associated with premium features from time to time or may immediately suspend or terminate premium features for any or no reason and without advance notice or liability.

 

When you purchase a premium feature that is paid for by you through recurring payments, you agree that you are authorizing recurring payments and that such payment and thereby subscription will be made by the method and at the recurring intervals you have agreed to, until the subscription is terminated by you or by Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network) . You may cancel a subscription at any time before the end of the current billing period and the cancellation will take effect on the next billing period.

 

If you break any of Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network) ’s terms in the use of your Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  account and/or in the use of its premium features and subscriptions, in addition to other actions we may take, we may cancel any or all of your premium features and subscriptions immediately and no refund will be granted for any payments you have made.

 

Any payment you make for the use of the Services is used to compensate Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  for its software development, overhead, administrative services and other corporate costs and fees, including transaction fees for credit card usage. You agree to pay all fees and charges associated with your Account on a timely basis in accordance with the fee schedule, and the terms and rates published by Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  from time to time. Such fees and charges (including any taxes and late fees, as applicable) may be charged to the credit card you provided during the initial setup of your Account. You agree to maintain valid credit card information in your Account. By providing Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  with credit card information you authorize Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  to bill and charge your credit card.

 

Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  uses the services of established 3rd party vendors for all payments and payment information. Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  stores no payment information on its servers and is not liable for any breach of payment information or loss that occurs with the payment vendor.

 

Intellectual Property

All of the content available on or through the Service is the property of Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  or its licensors and is protected by copyright, trademark, patent, trade secret and other intellectual property law. You agree not to reproduce, retransmit, distribute, disseminate, sell, publish, broadcast, or circulate the content received through the Service to any third party. All software and accompanying documentation made available for download from the Service is the copyrighted work of Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  or its licensors. Any copy made of information obtained through the Service must include all applicable copyright notices.

 

“Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network) ” is a trademark and the sole and exclusive property of The Fuel Your Fire, LLC, LLC. All rights reserved. Subject to the terms of this Agreement, Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  hereby grants you a limited, revocable, nontransferable and non-exclusive license to use the software, network facilities, content and documentation on and in the Service to the extent, and only to the extent, necessary to access and use the Service.

 

The license granted herein does not permit you to, and you agree not to: (i) modify, translate, reverse engineer, disassemble, decompile or create derivative works of the Service or allow a third party, whether directly or indirectly (including, but not limited to the direct or indirect use of wizards, agents, bots, or other utilities), to modify, translate, reverse engineer, disassemble, decompile or create derivative works of the Service; or (ii) transfer, distribute, sell, lease, rent, disclose or provide access to the Service to any third party or use the Service to provide service bureau, time sharing or other services to third parties.

 

Rights Reserved

 

At its discretion, Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  may permanently cancel accounts of users who violate the Terms of Service. Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  reserves the right to view Private Groups ONLY for the purposes of fixing issues, to respond to complaints about Terms of Service violations, or when required to do so by law. Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  reserves the ongoing right to view Pages, Selective Groups, Open Groups, and any groups in the Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  Open Group Directory to assess compliance with this Terms of Service. Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  reserves the right to remove objectionable content without notice. Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  can remove any content or information you post at Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  if we believe that it violates our Terms of Service.

 

We may suspend or terminate your account or cease providing you with all or part of the Services at any time for any or no reason, including, but not limited to, if we reasonably believe you have violated these Terms.

Pages, Groups, and users may not be notified when any of this occurs. We reserve the right to respond or not respond to such requests. More on Spam

You may not use Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network) ’s services for the purpose of spamming anyone. Spam is generally defined on Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  as bulk or aggressive activity that attempts to manipulate or disrupt Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  or the experience of users on Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  to drive traffic or attention to unrelated accounts, products, services, or initiatives.

Some of the factors that we take into account when determining what conduct is considered to be spamming include:

•           if you have made large number of group or user contact requests, or followed and/or unfollowed a large number of user accounts or Pages, in a short time period;

•           if your posts or comments consist mainly of links and/or are shared without commentary;

•           if a large number of people have blocked you in response to high volumes of untargeted, unsolicited, or duplicative content or engagements from your account;

•           if a large number of spam complaints have been filed against you;

•           if you post duplicative or substantially similar content, replies, comments to multiple Pages, Groups, or users; or create duplicate or substantially similar accounts;

•           if you post multiple updates to a Page, Group, user or topic with an intent to subvert or manipulate the topic to drive traffic or attention to unrelated accounts, products, services, or initiatives;

•           if you send large numbers of unsolicited posts, comments, replies or mentions;

•           if you add users to lists in a bulk or aggressive manner;

•           if you are randomly or aggressively engaging with Pages, Groups, or users to drive traffic or attention to unrelated accounts, products, services, or initiatives;

•           if you repeatedly post other people’s account information as your own (e.g., bio, posts, comments, profile, user URL, etc.);

•           if you post misleading, deceptive, or malicious links (e.g., affiliate links, links to malware/clickjacking pages, etc.); Accounts created to replace or mimic suspended accounts may be permanently suspended.

•           We may also remove accounts which Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  at its discretion attributes to entities known to violate the Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  Terms of Service.

 

Disclaimers

ACCESS TO THE SERVICE AND THE INFORMATION CONTAINED THEREIN IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE AND YOUR RELIANCE UPON ANY OF ITS CONTENTS IS AT YOUR SOLE RISK.

Limitations of Liability

You acknowledge that Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  must store all personal data as required by law, typically for no less than seven (7) years.

 

Mandatory Arbitration.

 

Any disagreement, dispute, controversy or claim arising out of or relating to this Agreement or the interpretation of this Agreement or any arrangements relating to this Agreement or contemplated in this Agreement or the breach, termination or invalidity thereof shall be settled by final and binding arbitration administered by JAMS in Denver, Colorado in accordance with the then existing JAMS Arbitration Rules and Procedures for Employment Disputes. In the event of such an arbitration proceeding, the Executive and the Company shall each select an arbitrator from among the JAMS panel of arbitrators and those selected shall mutually select a third acceptable neutral arbitrator from among the JAMS panel of arbitrators. In the event the Executive and the Company cannot agree on an arbitrator, the Administrator of JAMS will appoint an arbitrator. Neither the Executive nor the Company nor the arbitrator shall disclose the existence, content, or results of any arbitration hereunder without the prior written consent of all parties. Except as provided herein, the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings. The arbitrator shall be required to abide by the provisions of this Agreement and the arbitrator shall not modify or alter same. Such arbitration shall be conducted under a “baseball arbitration” format, pursuant to which the arbitrator shall be required to adopt the position of one of the parties, and not any compromise position. The Company shall be responsible for the arbitrator’s fees and costs. All reasonable costs and expenses (including fees and disbursements of counsel) incurred by the Executive in seeking to interpret this Agreement or enforce rights pursuant to this Agreement shall be paid on behalf of or reimbursed to the Executive promptly by the Company, provided that the Executive is successful in asserting such rights The arbitrator shall apply the substantive law (and the law of remedies, if applicable) of the State of Colorado, or federal law, or both, as applicable, and the arbitrator is without jurisdiction to apply any different substantive law. The arbitrator shall be required by abide by the provisions of this Agreement and the arbitrator shall not modify or alter same. The arbitrator shall have the authority to entertain a motion to dismiss and/or a motion for summary judgment by any party and shall apply the standards governing such motions under the Federal Rules of Civil Procedure. The arbitrator shall render an award and a written, reasoned opinion in support thereof. Judgment upon the award may be entered in any court having jurisdiction thereof. Nothing herein contained shall preclude either party from seeking equitable or injunctive relief from a court of competent jurisdiction in order to prevent, terminate or reduce the likelihood of the infliction of irreparable harm on the petitioning party.

 

Class Waiver

 

Any arbitration proceeding under this Section will take place on an individual basis. Class arbitrations and class or representative proceedings of any kind are not permitted and User expressly waives its ability to participate in a class or representative proceeding against Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  or its Affiliates. If the arbitration clause is found inapplicable to User’s dispute with Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network) , this class waiver will continue to apply in litigation. User agrees that this class waiver is an essential element of the agreement between User and Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  and that this class waiver may not be severed. In the event that this class waiver is deemed invalid or unenforceable, then the entire agreement to arbitrate in this Section will be null and void.

General

These Terms are governed by the laws of the State of Colorado, without regard to any conflict of laws rules or principles. You agree to submit to the venue and jurisdiction of the Colorado courts in the cases that arbitration is not successful or is assigned or appealed to a civil court. Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network) ’s failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. Notices required to be given to you by Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  may be delivered by electronic mail to the address provided during the creation of your Account. These Terms constitute the entire Agreement between Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  and yourself regarding the Service and supersede and replace any prior agreements you and Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  might have regarding the Service. Fuel Your Fire, LLC (d/b/a Pallas Dame Integrative Wellness, d/b/a Matrix Dynamics Network)  may revise these Terms from time to time without notice to you.
